Fields of Practice

Received her Juris Doctor (J.D.) degree from the Ateneo de Manila University School of Law in 2003. She obtained her Bachelor of Science (Business Economics) degree, with Dean's Medal distinction, from the University of the Philippines in 1998. She was admitted to the Philippine Bar in 2004.

Relevant Experiences

• Acting as local legal consultant for an international advisory group in relation to the Department of Energy (DOE) program to encourage private sector participation in the electrification of missionary areas. Work primarily involves assistance and coordination with transaction advisors, electric cooperatives, prospective investors and pertinent government agencies especially in the drafting and negotiation of contracts (i.e. Power Supply Agreement, Subsidy Agreement and related documents); assistance in the preparation and implementation of a transparent bidding process, including the drafting of the bidding rules and procedures and related documents; assistance in the conduct of the bidding and evaluation of the bid submissions as to legal eligibility and qualifications; and presentations to and preparation of the electric cooperatives and the private sector, as the parties who will avail of the government assistance in the project.

• Currently advising a private electric distribution utility in relation to the bidding out of its supply requirements. Work includes providing assistance on the structuring of the transaction, advice on Philippine law and regulatory requirements governing the energy sector, and drafting of project contracts including the power purchase agreement, bidding rules and procedures, and the information memorandum.

• Currently assisting private electric distribution utilities, electric cooperatives and private generation companies for the approval of their power supply agreements (PSA) with the Energy Regulatory Commission (ERC).  Work includes drafting of the PSA application, preparation of necessary submissions and annexes, attending pre-filing conferences and coordinating with regulatory agencies.

• Assisted as local legal counsel to an international investment company focusing on renewable energy on its proposed purchase of the rural solar business of a global group of energy and petrochemical companies.  Work included conducting due diligence over the corporate documents, commercial contracts, government permits and intellectual property registrations of said company, preparation of the due diligence report and coordination with international counsel.

• Acted as legal counsel in the negotiation and closing for the joint venture of a foreign corporation with a local Customer Relationship Management (CRM) company.  Work performed includes negotiations of the joint venture agreement, assisting the client during negotiations on various aspects of Philippine law on investments, corporate structuring and shareholder arrangements, drafting of the necessary transaction documents, and registration with the relevant government agencies.

• Acts as corporate secretary and general counsel to different corporations, stock and non-stock. Work includes incorporation, contract review and drafting documents for various corporate transactions and corporate filings.

• Assisted in the due diligence and preparation of reports on non-performing loans and non-performing assets of various banks for the purchase of special purpose vehicles pursuant to the Special Purpose Vehicle Act of 2002.

• Provided advice to a multinational information technology company in relation to its possible listing via an initial public offering in the Philippine Stock Exchange.  Work includes advice on Philippine law and regulatory requirements, providing assistance on the methods of listing, procedure, timelines and fees involved as well as coordinating with the relevant regulatory agencies.

• Assisted various companies in the securing government approvals for transactions involving the registration of inward foreign exchange investments. Work included processing requirements and coordination with the Bangko Sentral ng Pilipinas (BSP) for securing Certificates of Inward Remittance for various special purpose vehicles.

• Provides advice regarding intellectual property law, protection of intellectual property rights, and registration of such rights to clients. Currently handling trademark applications for clients involved in manufacturing and merchandising.
