CHERYLL LEN M. VALENZUELA

Fields of Practice

Received her Bachelor of Laws degree from the University of the Philippines College of Law in 2006. She received her Bachelor of Arts degree, Major in Political Science from the Ateneo de Manila University in 2001. She was admitted to the Philippine Bar in 2007. Before joining PJS, she was a Senior Associate Attorney at the Tax Division of SGV & Co. She was likewise a lecturer in Philippine Constitution and Government and International Relations at San Beda College, Alabang.

Relevant Experiences

• Provides assistance to various clients engaged in the energy industry. Work includes providing assistance in the sale and purchase of power plants including the privatization of various NPC generating assets, review of project documents and preparation of due diligence report.

• Part of the legal team to advising a leading Philippine power generation company on the PhP 16 Billion project financing for its newly acquired power generation assets.

• Part of the legal team to Therma Luzon Inc., a subsidiary of Aboitiz Power Corporation, in its successful bid for the selection of independent power producer administrator (IPPA) for the management of the 700-MW Pagbilao coal-fired power facility in Quezon. Currently assisting client in its completing the Closing requirements.

• Member of the legal team to Therma Marine, Inc. and Therma Mobile, Inc. – subsidiaries of Aboitiz Power Corporation, a publicly-listed company – in the successful bids for the acquisition of two 100 MW barge-mounted diesel-powered plants currently owned by the National Power Corporation (NPC) in a public bidding process undertaken by the Power Sector Asset and Liabilities Management Corporation’s (PSALM). The bids submitted by the subsidiaries for the assets, amounting to a total of USD30Million, were accepted by PSALM.

• Part of the team that assisted one of the established power companies in Thailand and biggest coal supplier in the region, in its bid for the acquisition of the 2x300MW Calaca Coal-Fired Thermal Power Plant under the privatization of plan of the Power Sector Asset and Liabilities Management Corporation (PSALM).

• Assisted AP Renewables, Inc. in the preparation of its bid for the Tiwi-MakBan Geothermal Complex. Work included review of project documents and preparation of due diligence report, assistance in the review of the Asset Purchase Agreement and the Land Lease Agreement, review of various financial deliverables for Bid Submission and monitoring of post-Closing deliveries.

• Assisted in the turn-over of operations of the Tiwi-MakBan Geothermal Complex. Work included drafting and review of various documents and agreement required for the turn-over, review and preparation of various Closing deliveries, representations before various government agencies and private entities including the Department of Energy (DOE), the National Power Corporation (NPC), the Power Sector Assets and Liabilities Management Corporation (PSALM), the Bangko Sentral ng Pilipinas (BSP), the Philippine Electricity Market Corporation (PEMC), and the Chevron Geothermal Philippines Holdings, Inc. (CGPHI), review of and advise on licenses and permits issued by and contracts with government agencies and administrative bodies, advice on fiscal and non-fiscal incentives specific to power generation industry.

• Acts as part of the team which advises a private project proponents on a fiscal administration projects under the BOT (Build-Operate-Transfer) scheme.

• Acted as lender’s counsel for several financing transactions including a P1.5 Billion financing for a major Philippine television network.

• Assisted in the due diligence review and preparation of reports pertaining to the corporate structure, organization, and operation of a realty company, and assisted in assessing the associated risks and exposure in pursuing the proposed transaction to acquire all of the subscribed shares of the realty company being offered for sale by the shareholders.

• Acts as assisting Corporate Secretary and General Counsel for different corporations. Work includes incorporation, contract review and drafting of documents for various corporate transactions and corporate filings.
