Fields of Practice

Received his Bachelor of Laws degree from the University of the Philippines in 2006 and was admitted to the Philippine Bar in 2007. He took his undergraduate studies in Silliman University where he finished with a degree in Accountancy in 1999. He placed 15th in the CPA Licensure Examinations in October 1999 and worked for SyCip Gorres Velayo & Co. from 1999 to 2002.

Relevant Experiences

• Acts as one of the legal advisers to a foreign company in its Power Supply Agreements (PSA) with electric cooperatives. Work involves a review of investment structures for the project company and other entities relevant to the delivery of electricity under the PSAs.

• Part of a team that assisted a local company in successful bid to be appointed as private administrator of certain NPC Independent Power Producer (IPP) contracts. Work involves analysis of the tax implications of the proposed IPP Administration Agreement.

• Acted as one of the legal consultants to a foreign company in its proposed purchase of a coal-fired power plant being privatized by PSALM. Worked involved a review of investment structures and their tax implications and relevant provisions of the Asset Purchase Agreement and Land Lease Agreement.

• Member of a team that assisted a foreign company in finalizing an Engineering Procurement and Construction (EPC) contract in relation to a proposed biomass power plant project. Worked involved contract negotiations and drafting and review of pertinent tax regulations applicable to offshore and onshore contracts as well as rules relating to construction contractors.

• Currently part of the team assisting a biofuels company in setting up financing, administrative and operational requirements for its biofuels production plant. Work involves review of pertinent tax laws and regulations relating to the procurement of raw materials and the sale of bioethanol, drafting and review of documents for the acquisition of the plant site as well as processing of land use conversion for the site.

• Assisted a foreign company in its acquisition of an interest in a local mining company. Work involved review of related mining laws, due diligence examination of mining claims and analysis of the proposed investment structure in the local mining company.

• Member of the team that acts as legal counsel for the Private Sector Participation (PSP) program of the Philippine Department of Energy (DOE) for rural electrification. Recent transactions involved the award of the contract to supply electricity to Basilan Electric Cooperative (BASELCO). Work included the preparation of transaction documents for the conduct of the competitive selection process (CSP) for the award of said contract and coordination with the International Finance Corporation, BASELCO and the National Power Corporation in relation to the CSP.

• Currently part of the team handling the legal requirements of a major computer hardware, software and IT-integration company. Work involves contract support and review and handling of customer complaints and tax-related matters.

• Member of the team assisting a multinational non-government organization engaged in microfinancing in setting up a local entity in the Philippines.

• Served as one of the legal consultants for the proposed acquisition of an interest in a major tollway corporation. Work involved review of shareholder agreements and tax regulations relating to the tollway industry.

• Member of the team which conducted a legal due diligence for one of the bidders in relation to the privatization of PNOC-Energy Development Corporation. Work included review of pertinent tax laws and regulations in relation to steam and electricity sales, as well rules on capitalization and financing structures.

• Part of the team that assisted a local branch of a BPO company in implementing a major global corporate reorganization. Work involved liaising with the SEC and PEZA and drafting of various documents to effect the transfer of business of the Philippine branch to a related entity.

• Served as one of the legal consultants in Pag-ibig Fund’s issuance of its 2007 P2 billion Bonds.

• Acted as one of the legal counsels in a major acquisition of real properties by a special purpose vehicle from a local bank under the Special Purpose Vehicle Act. Work included review of financing and security documents and drafting of documents relating to the request for transfer of properties with the BIR.

• Served as one of the legal consultants in the acquisition by a foreign bank of the non-performing loans portfolio of a local bank under the Special Purpose Vehicle Act. Work included due diligence review of credit and security documents and preparation of reports respecting certain accounts in the portfolio.

• Served as one of the legal consultants in the acquisition by a local company of an interest in a power plant project company held by a foreign entity. Work involved due diligence review of tax documents and pertinent tax laws including drafting of memos on relevant legal issues encountered during the review.

• Acts as legal consultant for call centers and business outsourcing companies advising on investment incentives and related tax matters. Works involves reviewing business contracts and representing them before government agencies.

• Handles various tax litigation matters before the BIR and Court of Tax Appeals.

• Acts as assistant corporate secretary for various corporations. Work includes contract review, drafting of documents for various corporate transactions, corporate filings/corporate housekeeping.
