• Part of the legal team to Therma Marine, Inc. and Therma Mobile, Inc. – subsidiaries of Aboitiz Power Corporation, a publicly-listed company – in the successful bids for the acquisition of two 100 MW barge-mounted diesel-powered plants currently owned by the National Power Corporation (NPC) in a public bidding process undertaken by the Power Sector Asset and Liabilities Management Corporation’s (PSALM). Work for the bid included assisting client on conducting due diligence on documents relating to the transaction and preparation of the bid documents for submission to PSALM. Present work includes assisting client in completing the Closing requirements, including resolving outstanding issues with PSALM and those concerning the assets’ registration, permits and other matters.
• Acted as part of the local legal team which advised the DOE in its program for the electrification of rural and unviable areas in the Philippines. Work included assisting in the review and revision of contractual templates consisting of Power Supply Agreement, Subsidy Agreement, and Waiver Contract.
• Acts as one of the legal consultants to local and international energy development companies in relation to the development and implementation of its renewable energy projects in the Philippines. Work included preparation and drafting of due diligence reports, assistance on equity structuring and advice on Philippine law and regulatory requirements.
• Acted as one of the legal consultants in the acquisitions by a foreign bank of the non-performing loans portfolios of several local banks under the Special Purpose Vehicle Act. Work included due diligence review of credit and security documents and preparation of reports respecting certain accounts in the portfolio.
• Acted as legal consultant for a company in the business of resolving and collecting upon delinquent loans secured by mortgages and has experience in servicing non-performing loans assigned in accordance with the provisions of the Special Purpose Vehicle Act of 2002.
• Acts as legal consultant for various Business Process Outsourcing entities. Work includes drafting and review of various business process outsourcing contracts, providing advice on labor, corporate, and tax matters, and representation before various government agencies.
• Currently acting as part of the legal team advising SN Aboitiz Power, Inc. and its project companies on labor relations and human resource issues arising from the take-over and operations of the privatized Magat Hydro-Electric Power Plant and Ambuklao-Binga Hydro-Electric Power Plants. Work includes providing advice on hiring, manpower reorganization, work outsourcing, and labor standards and benefits, as well as drafting and review of employment and service contracts.
• Acting as counsel to AP Renewables, Inc. in regard to the labor and employment issues arising from its acquisition and take-over of operations of the 747MW Tiwi-MakBan Geothermal Power Plants. We have advised the client on various employment issues relating to the transition of employees and imposition of employment benefits.
• Acts as legal consultant to STEAG State Power, Inc. in its operations of the 232MW Mindanao Coal-Fired Thermal Power Plant. We have since advised the client on various employment guidelines benefits package and secondment/training programs with local schools.
• Currently assisting clients on various labor-related issues. Work includes drafting and reviewing of employment contracts and employee regulations, providing advice on employee relations and representing various Philippine and foreign clients in cases filed before the National Labor Relations Commission.
• Currently representing various clients in applications for trademark registration with the Philippine Intellectual Property Office.
• Currently assisting clients in various litigation work consisting of appearances in court and other administrative tribunals, drafting and review of legal pleadings, developing case theories and strategies and assisting clients in amicably settling disputes.
• Acts as assisting Corporate Secretary and General Counsel for different corporations, including stock and non-stock corporations. Work includes incorporation, contract review and drafting and preparation of documents for various corporate transactions and corporate filings with the Securities and Exchange Commission.
