Fields of Practice

Received her Bachelor of Laws (Ll.B.) degree from the University of the Philippines College of Law in 2000 and was admitted to the Philippine Bar in 2001. She obtained her Bachelor of Science degree in Commerce major in Accounting from the University of Nueva Caceres where she graduated cum laude in 1992 and is a Certified Public Accountant since 1993. Formerly an associate lawyer with Arroyo Chua and Caedo Law Offices, she also served as law clerk for Supreme Court Associate Justice (ret.) Vicente V. Mendoza. She was head of the Reconciliation Unit of the Accounting Department of Capitol Development Bank (now RCBC Savings Bank) from 1994 to 1998 and was an auditor of Joaquin Cunanan and Company - Price Waterhouse (now Price Waterhouse Coopers).

Relevant Experiences

• Provides advice on various aspects of taxation to companies, including banks, insurance companies, investment companies, property managers, venture capitalists, manufacturers and information technology (IT) companies.

• Renders technical assistance in relation to legislative initiatives, such as the Securitization Law, among others. Work includes review of proposed legislation, providing advice on legal implications of changes in legislation and commercial transactions, and participated in legislative committee hearings with various industry players.

• Handles tax structuring for local and foreign investments. Work includes providing advice on the structuring of affiliated corporations and streamlining of operations for optimum tax efficiency of transactions, and providing assistance in securing incentives under the Omnibus Investments Code, Foreign Investments Act and Philippine Economic Zone Law.

• Acts as counsel for protests of tax assessments, claims for refund and tax lien cancellations, including representing various companies in the Court of Tax Appeals and in the appellate courts.

• Acts as counsel for estate tax settlement, and renders advice on estate planning.

• Assisted in providing local legal services to the PSALM Corporation in the privatization of the generation assets of the National Power Corporation, particularly in the review of the transaction documents for tax implications on participating government-owned and controlled corporations. Work included the review of and advice as regards the the tax implications of the sale of electricity in the Wholesale Electricity Spot Market (WESM).

• Assisted in providing consulting services to the Philippine Department of Finance Task Force on CalPERS on proper classification and treatment of transactional costs in equity investments in the Philippines of foreign investors.

• Provided legal and tax advice to an independent generation company in relation to its power plant projects in the Philippines. Also assisted in the formulation of a tax efficient structure for its equity investments in the Philippines, as well as the equity investments of participating and partner government-owned and controlled corporations.

• Assisted in the negotiation and closing of the entry of foreign investors in a local call center company. Work included the review, revision and finalization of transaction documents and providing assistance to clients in negotiations involving financial advisers and legal counsels from different jurisdictions.
