MARI JENNIFER M. BRUCE

Fields of Practice

Received her Juris Doctor (JD) degree from the Ateneo de Manila University in 2002 where she graduated with honors and was admitted to the Philippine Bar in 2003. She obtained a Bachelor of Science degree (Biology) from the University of the Philippines in 1998. She was a former law clerk for Associate Justice Conchita Carpio Morales of the Supreme Court of the Philippines and also served in the Office of the Chief Presidential Legal Counsel.
Relevant Experiences

• Providing legal assistance in relation to the preparation for commercial operation of the Philippine Wholesale Electricity Spot Market ("WESM"). Work includes providing legal advice on issues relating to structure and organization, and preparation of market documents.

• Acting as part of the local legal team in a consortium of consultants advising the Philippine Department of Energy (DOE) in its program for increased private sector investment in the rehabilitation and management of electric cooperatives. Work involves analysis, review and revision of the Investment Management Contract for the Rural Electrification Project, including the review of issues related to the limitations on the franchise of a distribution utility.

• Providing advice to prospective investors in the energy industry regarding possible investment structures, including the preparation and drafting of due diligence reports.

• Acting as local legal consultant in a consortium assisting an international advisory group in the review and implementation of a bulk water supply project being pursued under the BOT Law. Work includes review of Philippine law governing public-private partnership; and providing assistance in advising government regulatory agencies,drafting, review and negotiation of documents, and in the due diligence requirements.

• Assisted in the review of relevant documents relating to the implementation of a rail transit system project under the BOT Law.

• Assisted in the incorporation of a special purpose vehicle under the Philippine SPV Act for the acquisition of Non-Performing Assets from a Philippine commercial bank.

• As counsel for the Office of the Chief Presidential Legal Counsel (Office of the President of the Philippines):

  • Provided legal advice to government agencies regarding the implementation and/or negotiation of projects being pursued under the BOT Law, and reviewed public bidding procedures and tender documents to ensure compliance with privatization laws.
  • Reviewed service contracts for petroleum exploration, development and utilization, and determined compliance with legal and constitutional limitations and procedure.
  • Reviewed corporate laws and government procedures for the exercise and/or assignment of the government’s pre-emptive rights in an acquired asset corporation pending sequestration proceedings.
