• Acting as local legal consultant in a consortium
assisting an international advisory group in the structure and implementation
of the program of the Philippine Department of Energy (DOE) to encourage
private sector participation (PSP) in the electrification of missionary
areas. Work includes the review of Philippine law governing PSPs
in infrastructure and energy sectors, providing advice on contractual
and regulatory requirements governing rural electrification, and
drafting power supply agreements and related contracts to be adopted
as template documents by pertinent government agencies and rural
distribution utilities.
• Currently advising an energy development company in relation
to the development and implementation of its renewable energy projects
in the Philippines. Work includes providing assistance on equity
structuring, advice on Philippine law and regulatory requirements
governing the energy sector, and drafting and negotiations of project
contracts including investment agreements, energy supply and fuel
purchase contracts.
• Acted as local legal advisor assisting the National Transmission
Corporation ("TransCo") in its regulatory filings with
the Energy Regulatory Commission ("ERC") for the approval
of the rules on open access transmission services. Work included
the review of existing regulations on transmission service, drafting
of the terms and conditions for transmission services, ancillary
services, and related agreements, in coordination with foreign legal
and technical consultants.
• Acted as local counsel to the PSALM Corporation ("PSALM")
for the privatization of the National Power Corporation ("NPC")
and restructuring of the Philippine electricity industry. Work included
(i) the review of NPC's power purchase agreements ("PPA")
with independent power producers ("IPP") and drafting
of amendment agreements, including negotiations and consultations
with local and foreign counsels for revisions to the PPAs and related
agreements, and (ii) assistance to PSALM in preparing filings with
and/or public consultations by the ERC in relation to various regulatory
guidelines, such as the Subtransmission Guidelines, Competition
Rules, Transmission Wheeling Rates, Universal Charge, and Generation
Tariff-Setting Methodology.
• Acted as local counsel to one of the largest international
petroleum companies in relation to its petrochemical project in
the Philippines. Work included advising client on matters of Philippine
law governing its activities in the country and coordinating with
foreign counsel on issues relating to other jurisdictions.
• Handles public interest litigation and appellate practice,
with work involving extensive research and drafting of pleadings
filed with the Supreme Court on issues of violations of due process
and other substantive rights, and difficult questions of law. Expertise
in other areas of public interest law includes family law, children's
rights and human rights law, of which she has publications in Philippine
legal literature.
