Fields of Practice

Received her Bachelor of Laws (Ll.B.) degree from the University of the Philippines in 2005 and her Bachelor of Secondary Education (major in English, minor in Journalism) from the same University in 2001. She was admitted to the Philippine Bar in 2006. She served as law clerk for Associate Justice Teresita Dy-Liacco Flores of the Court of Appeals.

Relevant Experiences

• Acting as local legal counsel to a foreign publicly-listed corporation in relation to its petroleum and coal exploration, development and operating contracts in the Philippines. Work includes the conduct of due diligence review of contracts covering local energy interests, advise on local regulatory requirements, representation before various government agencies including the Philippine Department of Energy (DOE), review of permits issued by and contracts with the government, farm-in arrangements with local and foreign exploration companies.

• Provides advice to a local energy development company in relation to the development and implementation of its renewable energy projects in the Philippines. Work included preparation and drafting of due diligence reports, assistance on equity structuring and advice on Philippine law and regulatory requirements.

• Provides advice to investors in the Philippine oil and gas industry relating to regulatory compliance and matters involving corporate, commercial, property, litigation, investments, environmental, tax, labor, and contracts law. Work includes contracts review, advice on possible investment structures, advise on regulatory framework in relation to farm-in and other contracts over Philippine petroleum service contracts, preparation and drafting of due diligence reports.

• Provides assistance in review of contract documents and government approvals in relation to various energy projects.  Work includes providing assistance in the sale and purchase of power plants, review of project documents and preparation of due diligence reports, review and advice relating to Operation and Management contracts, Power Supply Contracts, Transmission Connection Agreements.

• Acted as part of the local legal team in a consortium of consultants advising the DOE in its program for increased private sector investment in the rehabilitation and management of distribution utilities in various areas in the Philippines. Work included assisting in the review and revision of investment management contracts for electric cooperatives.

• Assisted several companies in various aspects of taxation and tax structuring. Work included advice on the structuring of affiliated corporations and streamlining of operations for optimum tax efficiency of transactions, facilitating applications with the Bureau of Internal Revenue for Tax Treaty relief and coordinating with the Bangko Sentral ng Pilipinas for foreign currency exchange with the local banking system and compliance with reportorial requirements for foreign loans.

• Acted on behalf of clients in applications for trademark registration with the Philippine Intellectual Property Office.

• Assisting corporate secretary and general counsel to various stock corporations. Work includes drafting documents for various corporate transactions and corporate filings.

• Assisted various clients on various labor-related issues. Work includes drafting and review of employment contracts and providing advice on employee relations.

• Acted as counsel for the servicing of loan accounts held by a Special Purpose Vehicle (SPV). Work includes representation before the Philippine Mediation Center, the prosecution of collection cases, providing effective solutions towards the satisfaction of SPV collectibles.
