RACHELLE GUINTO-LAMBUSON

Received her Juris Doctor (JD) degree from the Ateneo de Manila School of Law in 2000 and was admitted to the Philippine bar in 2001. She obtained her Bachelor of Science (Legal Management) degree from the same University in 1996. After having been admitted to the Philippine bar in 2001, she started as an associate at Tan Acut & Lopez. She was also an associate at Arroyo Chua & Caedo (formerly Azcuna Yorac Sarmiento Arroyo & Chua). She was also a member of the Ateneo Human Rights Center.

Relevant Experiences

• Advises clients on corporate acquisitions and cross border investment transactions.  Work includes negotiation with foreign and local counsels and financial institutions and advisers.

• Advises energy development companies in relation to the development and implementation of its pioneering renewable energy projects in the Philippines. Work includes providing assistance on equity structuring, project finance and intellectual property protection.  Advises client on Philippine law and regulatory requirements governing the energy sector.  Drafts and negotiates for the client project contracts including investment agreements, energy supply and fuel purchase contracts.

• Advises clients on issues relating to global standards on environmental compliance and the issuance of certified emission reduction (CER) under the Clean Development Mechanism of the Kyoto Protocol for proposed local projects including coordination with the Department of Environment and Natural Resources and the Department of Energy.

• Acts as legal counsel and offers effective legal solutions to corporations involved in building, owning and operating of ethanol distilleries and power cogeneration plants.

• Acts as legal counsel to distribution utilities at the forefront of the local energy industry.  Work involves conducting of public biddings for power supply, negotiation and preparation of relevant contracts such as the bidding documents, Power Purchase Agreement, Power Supply Agreement and Connection Agreement.

• Assists local corporations in the protection of their intellectual property. Work includes evaluation of appropriate solutions for IP protection and obtaining trademark, patent and copyright registration.

• Acts as legal counsel to a leading publication company advising them on corporate and labor issues, contracts, media law and relevant laws on libel.

• Served as Philippine counsel to offshore companies investing in the Philippines and participating in competitive selection process.

• Drafts and reviews contracts for various corporate and commercial transactions.

• Serves as corporate secretary and general counsel for several Philippine corporations.

• Acted as corporate secretary and general counsel to a Philippine based call center. Work included incorporation and preparation of contracts and other documents for various corporate transactions.

• Served as counsel in a leading labor case involving constitutional and labor issues.

• Represented clients in all aspects of litigation (civil, criminal, appellate, administrative, and inter/intra corporate litigation), including the drafting and review of relevant letters and pleadings, negotiations, settlements, case strategizing, court and other administrative tribunal appearances, examination of witnesses and presentation of evidence, oral arguments and execution of orders, writs, and judgments.
