PEARL GRACE G. CABALI

Received her Master of Business Administration - Juris Doctor (MBA-JD) dual degree from the De La Salle University-Far Eastern University Consortium in 2008. She was admitted to the Philippine Bar in 2009. She obtained her Bachelor of Science degree (Accountancy) from the De La Salle University in 1999. She was admitted to the Philippine Board of Accountancy in 2000.

Relevant Experiences

  • Member of the team that acts as legal counsel for the Private Sector Participation (PSP) program of the Philippine Department of Energy (DOE) for rural electrification. Recent transactions involve the award of the contract to supply electricity to Basilan Electric Cooperative (BASELCO). Current work involves providing legal advice on the competitive selection process for the Province of Siquijor Electric Cooperative’s (PROSIELCO) new power provider. Work includes the preparation of transaction documents for the conduct of the competitive selection process for the award of said contract and coordination with the International Finance Corporation, PROSIELCO, National Power Corporation, the Energy Regulatory Commission and potential bidders.
  • Currently part of the team acting as local legal counsel to a subsidiary of one of the leading financial institutions in Europe in its proposed acquisition of substantial equity of a first class hotel. Work includes assisting in the preparation of and conduct of due diligence, negotiations and drafting of transaction documents.
  • Acted as counsel to one of Asia Pacific’s leading specialist in corporate recovery in their acquisition of contracts to sell (“CTS”) receivables from a Philippine financial company. Work included review of accounts covered by the CTS, review of sale/assignment documents and assisting client in providing an efficient structure for the acquisition of the CTS.
  • Acted as counsel to a local microfinance institution and a foreign financial advisor on a P500 Million Notes issuance.
  • Part of the team that acted as local legal counsel to a subsidiary of a global power generation in its proposed bid for the selection of independent power producer administrator (IPPA) contract for the management of the 345-MW San Roque Multi-Purpose Hydroelectric Power Plant, 70-MW Bakun Hydroelectric Power Plant, and 30-MW Benguet Mini-Hydro.
  • Part of the team that assisted a business entity under corporate rehabilitation.
  • Serves as tax agent for various companies in their application for tax treaty relief, tax-free exchange of assets for shares of stock, and other requests for ruling from the Bureau of Internal Revenue.
  • Acts as general counsel to different corporations. Work includes advice on various corporate and tax related issues contract review and drafting of documents for various corporate transactions and corporate filings.
  • Provides assistance to clients in advocating their cause consisting of developing case theories and strategies and drafting and review of legal pleadings.
  • Previously worked as a Financial Analyst in various private corporations engaged in retail, investment banking, real estate and securities.
