Through its extensive experience in the banking industry, the Banking and Securities Group has developed an expertise in the various aspects of the business, particularly in matters such as loan and security documentation; compliance with the requirements of the Bangko Sentral ng Pilipinas on ("BSP"), capitalization requirements, and other reportorial and regulatory matters; foreign trade and currency transactions; trust operations; compliance with banking laws, sale and purchase of distressed assets under the SPAV Law.

The Banking and Securities Group counts among its clients several brokerage firms. The Group is currently assisting in the drafting of several proposed legislative measures related to securitization. We also service the reportorial and compliance requirements of our clients relating to the Securities and Exchange Commission ("SEC") and the Philippine Stock Exchange ("PSE").
Relevant Experience

•Acted as counsel for the successful submission and implementation of the rehabilitation plan for a major savings bank with total transaction value of around PHP 14 Billion.

• Acted as counsel for the seller in the acquisition of a Philippine commercial bank by one of the largest multi-national banking institution.

• Currently serving as resource persons for the Senate of the Philippines in the drafting of comprehensive legislation for securitization.

•Acted as counsel for the proposed asset-backed securitization (ABS) of a government savings and loan institution with proposed proceeds of at least PHP 6 billion.

•Currently serving as counsel to an international venture capital fund regarding investments in start-up companies, including reviewing compliance with U.S. Securities Laws.

•Serves as adviser to the Financial Executives Institute of the Philippines, an association of the country's top financial executives, and the Capital Market Development Council, a group of government and private associations organized primarily to promote capital market development.

•Presently undertaking the structuring and registration of proprietary securities of a multi-million peso sports facility.
