The Corporate and Commercial Practice Group is the most expansive practice area in the Firm. The work ranges from standard corporate housekeeping requirements to extensive due diligence in relation to mergers and acquisitions; from simple contract drafting to complicated structuring of foreign investments; from registration of local businesses to obtaining governmental permits and qualifying clients for government incentives and economic zone accreditations. Regardless of the simplicity or complexity of the task, the Group prides itself in thoroughness in details and comprehensiveness in the analysis of salient issues.
Relevant Experience

• Continue to act as resource members to the Philippine Government CalPERS Task Force supervised by the Department of Finance in the maintenance of the Philippines in the California pension fund’s Permissible Investments List.

• Currently advising the reorganization of a multinational company for the consolidation of its business interests in the Philippines .

• Currently providing corporate secretarial work for a large number of companies including affiliates of Fortune 500 multi-national companies, members of the Top 1000 corporations in the Philippines and various other companies.

• Currently representing companies earmarked for acquisition (seller-side) and intending to acquire strategic Philippine assets and/or corporation (buyer-side), assisting in the preparation of and conduct of due diligence, negotiations and drafting of transaction documents.

•Currently handling the merger of several local companies.

• Assistance in client transaction involving re-capitalization, restructuring, and spinning-off corporations, representing foreign and local investors in acquiring or making investments in operating companies.

• Assistance in the investment of foreign companies in local corporations, including structuring advice, in preparation for the latter’s registration of securities and public listing.

• Assistance in the application for government incentives and registration of qualified companies in export processing zones.

• Provide full legal assistance in processes with the Securities and Exchange Commission from registration of securities to representation in filing of pleadings and appearance before the administrative officers.

• Acted as counsel for one of the largest real estate developers in the Philippines on work involving the structuring of foreign investments and creation of multi-layered subsidiaries and affiliates.
