SHERYL F. BALOT

Received her Juris Doctor (J.D.) degree from the University of the Philippines in 2011 and was admitted to the Philippine Bar in 2012. She obtained her Bachelor of Science (Economics) degree in the same University in 2002 where she graduated cum laude. From 2003 to 2011, she served as a project officer of the Public-Private Partnership (PPP) Center of the Philippines before joining the PJS Law.

Relevant Experiences

  • Part of the team which advises the Philippine Department of Health (DOH) and the Public-Private Partnership (PPP) Center in the modernization of the Philippine Orthopedic Center (POC), the first hospital development and operation to be undertaken under the PPP model in the Philippines. Work includes assistance in the preparation of the feasibility study and draft PPP contract, providing inputs on the relevant BOT transaction, assistance in complying with the requirements of the National Economic and Development Authority (NEDA) for the approval of the project, and assistance during the bidding process.
  • Part of several teams which advise the Philippine Department of Transportation and Communications (DOTC) and the PPP Center in the development of three airport projects and one ICT project to be undertaken following the PPP framework. Work includes assistance in the preparation of the feasibility study, bidding documents and draft PPP contract, providing inputs on the relevant BOT transaction, assistance in complying with the requirements of the National Economic and Development Authority (NEDA) for the approval of the Project, and assistance during the bidding process.
  • Has extensive experience in developing a number of PPP transportation projects, including toll roads, airports, ports, bridges and rails. She was in charge of the Daang Hari-SLEX Link Road Project, which was the first project awarded under the PPP Program of the current administration. She also has extensive experience in developing PPP Projects in the health, property development and ICT sectors, including the ICT/E-Commerce Project of the Philippine Postal Corporation, where she assisted in the review of the unsolicited proposal, and an intermodal transport terminal project of the DOTC, where she assisted in the review of the unsolicited Build-Own-Operate (BOO) contract.
  • Handles applications for energy supply agreements between generation companies and distribution utilities before the Energy Regulatory Commission, including drafting pleadings and appearing at hearings and public consultations.
  • Part of the team that facilitate several financing transactions including a US$ 25 Million transaction intended for a major Philippine logistics and navigation company.
  • Part of the team that facilitated the acquisition of lands as site of a 200MW power plant by a leading energy generation company.
  • Assists various foreign companies in establishing their business presence in the Philippines by providing legal advice on structuring their investments and handling their applications with the SEC.
  • Part of the team that provides legal assistance to the securities brokerage subsidiary of a multinational investment banking group. Work includes regulatory securities compliance and general legal advisory on securities operations.
  • Assists Philippine clients in various labor and employment-related issues. Work includes drafting opinions, reviewing employment agreements and providing advice on company policies and regulations as well as employee relations.
  • Acts as general counsel and/or assistant corporate secretary to different corporations. Work includes advice on various corporate related issues, contract review and drafting of documents for various corporate transactions and corporate filings.
