SHIRLEY VELASQUEZ-VIRAY

Received her Juris Doctor degree from the University of the Philippines in 2008. She obtained her Bachelor of Arts degree (Political Science) from the University of the Philippines in 2003 where she graduated cum laude. She was admitted to the Philippine Bar in 2009, having obtained the 9th highest ranking in the Bar Examinations. Prior to joining PJS Law, she was a Junior Associate at Nisce Mamuric Guinto Rivera & Alcantara Law Offices.

Relevant Experiences

  • Currently acting as legal consultant working in association with KPMG Manabat Sanagustin & Co. for the Asian Development Bank’s (ADB) initiative for the development of the Philippine Infrastructure Financing Facility (PIFF) to address the gaps in the infrastructure financing requirements for the development of Public-Private Partnership (PPP) Projects in the Philippines.
  • Part of the team currently acting as transaction counsel to an international REIT in the structuring and acquisition of land.
  • Part of the team acting as local legal counsel to an international microcredit finance corporation in the establishment of a thrift bank. Our work includes providing legal advice on the Philippine regulatory framework for bank transactions, and review and drafting of corporate and transaction documents.
  • Part of the team that acted as Philippine counsel to EGCO in respect of its acquisition of the 26% equity of Covanta Energy in Quezon Power Partners, Ltd., the company operating the 460MW coal-fired thermal power plant in Mauban, Quezon, Philippines.
  • Part of the team acting as local legal counsel to an international microcredit finance corporation in the establishment of a thrift bank. Our work includes providing legal advice on the Philippine regulatory framework for bank transactions, and review and drafting of corporate and transaction documents.
  • Assisted various foreign companies in establishing their business presence in the Philippines by providing legal advice on structuring their investments and handling their applications with the Securities and Exchange Commission for the registration of their subsidiaries, branch office, representative office, and Regional Operating Headquarters in the Philippines.
  • Acted as assisting counsel for a number of business process outsourcing (BPO) companies, attending to their various concerns including registration with the Philippine Economic Zone Authority (PEZA), project expansion, importation, registration of foreign investments, and relevant labor and tax issues
  • Handled cases on input VAT refund and disputed assessments before the Bureau of Internal Revenue (BIR) and the Court of Tax Appeals
  • Acted as assistant corporate secretary and director of various corporations and provided general corporate housekeeping services including filing of reportorial requirements; contract preparation and review; and rendering of legal opinions
  • Acts as assisting counsel to corporations engaged in the real estate business, rendering legal advice on the development of condominium projects, operation of serviced apartments, participation of foreign investors, as well as preparing the documentation for the relevant transactions arising therefrom
  • Part of the team that assists a joint venture in pioneering and introducing mobile banking in the Philippines.
