The focus of PJSLAW's Special Projects Group is on projects that require the combined expertise of the various practice areas. Our work in this matter ranges from project finance transactions to highly specialized work such as developing comprehensive legislative proposals on behalf of governmental agencies, tariff applications, and public consultation processes, in Metro Manila and the relevant provinces, in relation to projects involving cooperatives, the energy and mining industries. Because of the complexity and diversity of the matters handled, the Firm gives premium to flexibility and responsiveness - we are confident in our ability to assemble, even on short notice, project teams uniquely qualified to undertake even the most complex and difficult assignments.

Relevant Experience

  • Acted as legal consultant to the International Finance Corporation (IFC) in relation to its advisory services being rendered to the Light Rail Transportation Administration (LRTA), for the competitive selection of project sponsors for the LRT-3 Project; and to the Department of Finance (DOF) through the BOT Center and Metropolitan Cebu Water District (MCWD) in relation to the structuring and conduct of the competitive selection of project sponsors for the Carmen Bulk Water Supply Project, which involves the supply to MCWD of 50,000 cubic meters per day of bulk water in order to address the current water shortage in Metropolitan Cebu.
  • Acted as Counsel in the acquisition of non-performing loans of several local companies by international banking institutions and international fund managers.
  • Acted as local Counsel for an international conglomerate in the negotiations and transaction closing in relation to its acquisition of one of the largest call centers in the Philippines.
  • Acted as legislative consultant for the Department of Energy regarding the preparation of comprehensive legislation for the Philippine Liquefied Petroleum Gas (LPG) Industry.
  • Acted as Counsel for a European multi-national company in the submission of a build-operate-and-transfer (BOT) proposal to handle solid waste management for the Metropolitan Manila area.
  • Acted as Counsel in conducting due diligence on a local mining corporation to ensure compliance with government requirements, licenses and permits, in preparation for foreign capital infusion. Work involves the preparation of a feasibility study and investment proposal with material focus on the sustainable development of the local community including the establishment of safeguards for the benefit of local shareholder beneficiaries of a prior local government grant.
  • Assisting clients engaged in resource development projects in complying with and implementation of obligation to provide direct benefits to hosting local government units.
  • Assisted client in the application of several mining companies for a Mineral Production Sharing Agreement/Exploration Permit with the Mines and Geosciences Bureau (MGB), including representation in arbitration proceedings before the Regional Panel of Arbitrators and appeal proceedings before the MGB, over mineral areas situated in Mindanao (Surigao del Norte, Compostela, Davao Del Norte) and in Central Luzon (Bulacan).
  • Conducted review and analysis of compliance with existing environmental laws (clean air, water permit requirements, among others) applicable to the construction and operation of power generation companies including a review of sufficiency of environmental permits and licenses for the 35 Independent Power Producers (IPP) contracts of the National Power Corporation.
  • Advised claimants respecting their rights and obligations over mining areas located in Northern Luzon (Benguet).
  • Conducted preliminary study on behalf of the International Finance Corporation on the comparison of local environmental standards vis-a-vis World Bank standards on operation of bunker-oil and diesel fueled engines.
  • Presently acting as legal Counsel of a mining company for recognition of its mining claim over an iron mineral area based on a Spanish Royal Grant in the light of the Philippine Mining Act of 1995.
